By accessing or using EquipBook ("the Service"), available at equipbook.ai, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and EquipBook ("we," "us," or "our"). Your continued use of the Service following any changes to these Terms constitutes acceptance of those changes.

EquipBook is a free, AI-powered heavy equipment valuation platform. The Service provides estimated market values for heavy equipment including but not limited to excavators, bulldozers, loaders, cranes, and other construction and industrial machinery.

Our valuation engine uses a combination of depreciation modeling, comparable sales data, and AI-driven market analysis to generate equipment value estimates. The Service is provided at no cost and does not require account creation.

The valuations provided by EquipBook are not certified appraisals. They are algorithmically generated estimates intended to serve as general reference points for equipment pricing.

When using the Service, you agree to:

• Provide accurate and truthful information about equipment when requesting valuations, including make, model, year, hours of operation, and condition.
• Use the Service only for lawful purposes and in accordance with these Terms.
• Not abuse, overload, or interfere with the operation of the Service, including but not limited to automated scraping, excessive API calls, or denial-of-service activities.
• Not attempt to reverse-engineer, decompile, or extract the valuation algorithms, models, or proprietary methodologies used by the Service.
• Not misrepresent EquipBook valuations as certified appraisals, official assessments, or guaranteed values to third parties.
• Not use the Service to facilitate fraud, deception, or any illegal activity.

The Service, including but not limited to the website, valuation engine, algorithms, valuation methodology, machine learning models, user interface, design, logos, text, graphics, and all other content, is the exclusive property of EquipBook and is protected by applicable intellectual property laws.

You may not copy, modify, distribute, sell, lease, or create derivative works based on any part of the Service without our prior written consent. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose.

The EquipBook name, logo, and all related marks are trademarks of EquipBook. You may not use these marks without our prior written permission.

When you submit equipment information to the Service (including make, model, year, hours, condition, and other details), you grant EquipBook a non-exclusive, worldwide, royalty-free license to use, process, store, and analyze that data for the purpose of providing valuations, improving the Service, and enhancing our valuation models.

You represent and warrant that you have the right to submit any information you provide and that such information does not violate any third-party rights.

We do not claim ownership of the equipment data you submit. However, aggregated and anonymized data derived from user submissions may be used by EquipBook to improve valuation accuracy and for analytical purposes.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EQUIPBOOK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

This includes, without limitation, damages for loss of profits, loss of data, business interruption, or any other commercial damages or losses resulting from reliance on valuations provided by the Service.

EquipBook valuations are estimates generated by automated systems. They are not guarantees of actual market value. Actual sale prices may differ materially from our estimates due to factors beyond our control, including market fluctuations, equipment condition, negotiation, and other variables.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

You agree to indemnify, defend, and hold harmless EquipBook and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Any financial decisions or transactions you make based on valuations provided by the Service.
• Any misrepresentation of EquipBook valuations to third parties.

The Service may utilize third-party services, APIs, data providers, and AI models to generate valuations and provide functionality. EquipBook is not responsible for the accuracy, availability, or reliability of any third-party services.

The Service may contain links to third-party websites or resources. EquipBook does not endorse and is not responsible for the content, products, or services available from third-party sources. Your interactions with third-party services are solely between you and the third party, and you access them at your own risk.

EquipBook reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting the updated Terms on the Service. The "Effective Date" at the top of this page will be updated to reflect the most recent revision.

It is your responsibility to review these Terms periodically for changes. Your continued use of the Service after any modifications constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Service.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located within the United States.

EquipBook reserves the right to restrict, suspend, or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms.
• Abuse of the Service, including excessive automated requests, scraping, or other activities that degrade the performance or availability of the Service.
• Use of the Service for fraudulent or illegal purposes.
• Any behavior that we determine, in our sole discretion, to be harmful to the Service, other users, or EquipBook.

Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will remain in effect.
